Terms of Use

1. Acceptance of Terms

Welcome to HoopersHub. These Terms of Use ("Terms") constitute a legally binding agreement between you and 2XP Pte. Ltd. ("we," "our," or "us") governing your access to and use of our basketball league management platform (the "Service").

By clicking "Accept," creating an account, or otherwise accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Service.

Electronic Agreement: In accordance with the Electronic Transactions Act 2010 of Singapore, you acknowledge that:

• This agreement is formed electronically and is legally binding
• Your electronic acceptance has the same legal effect as a handwritten signature
• Electronic records of your acceptance and use of the Service may be retained as evidence

2. Service Description

HoopersHub is a comprehensive basketball league management platform that enables:

• Players: Create profiles, track statistics, join teams, and showcase achievements
• Parents/Guardians: Manage children's basketball profiles and activities
• Team Managers: Create and manage teams, rosters, and schedules
• League Managers: Organize leagues, seasons, divisions, and tournaments
• Academy Managers: Operate training programs and manage enrollments
• Fans: Follow teams, players, and leagues

We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice or liability.

3. Eligibility

To use our Service, you must meet the following requirements:

Age Requirements

• Adults (18 and above): May create accounts and use the Service independently
• Teenagers (13-17 years old): May create accounts with parental awareness. Parents/guardians are responsible for their activities and compliance with these Terms
• Children (under 13): Must have a parent or guardian create and manage their account through the Parent Portal

Additional Requirements

• Have the legal capacity to enter into these Terms (or have a parent/guardian who does)
• Not be prohibited from using the Service under applicable Singapore law
• Provide accurate information about your age during registration

Parent and Guardian Responsibilities: By allowing a minor to use the Service, parents and guardians:

• Agree to be bound by these Terms on behalf of the minor
• Take responsibility for the minor's compliance with these Terms
• Consent to the collection and use of the minor's personal data as described in our Privacy Policy
• May manage privacy settings and account access through the Parent Portal

4. Account Registration and Responsibilities

When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities under your account
• Not share your account credentials with others
• Not create accounts using false or misleading information

We reserve the right to suspend or terminate accounts that violate these requirements.

5. User Roles and Permissions

Our Service offers different roles with varying permissions and responsibilities:

Players

Players may create profiles, manage their personal information, respond to team invitations, and control their privacy settings. Players are responsible for the accuracy of their profile information.

Parents/Guardians

Parents may create and manage player profiles for their children, respond to invitations on their behalf, and control privacy settings. Parents are responsible for their children's compliance with these Terms.

Team Managers

Team managers may create teams, manage rosters, invite players, and organize team activities. Team managers are responsible for obtaining appropriate consent before adding players to their teams.

League Managers

League managers may create and organize leagues, seasons, and tournaments. They are responsible for fair administration and compliance with our guidelines.

Academy Managers

Academy managers may operate training programs, manage enrollments, and schedule sessions. They are responsible for accurate program information and safe training environments.

6. Subscription and Payment Terms

Certain features require paid subscriptions:

Pricing and Taxes

• All prices displayed are in Singapore Dollars (SGD) unless otherwise stated
• All fees are exclusive of applicable taxes, including Goods and Services Tax (GST) at the prevailing rate (currently 9%)
• Price changes will be communicated at least 30 days in advance via email

Payment Processing

• Payments are processed securely through Stripe
• We do not collect or store your credit card information
• Orders are confirmed only once payment has been successfully processed
• You will receive an email confirmation for all successful transactions

Subscriptions and Auto-Renewal

• Subscriptions automatically renew at the end of each billing period unless cancelled
• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of the current billing period
• You will continue to have access to paid features until the end of your billing period

Refunds and Cancellations

• Subscription Fees: Subscription fees are non-refundable once the billing period has begun, except where required by law
• Unused Portions: No refunds are provided for unused portions of a subscription period
• Service Issues: If you experience technical issues that prevent you from using the Service, please contact us within 7 days for assistance. We may offer credits or refunds at our discretion
• Cancellation by Us: If we terminate your account without cause, you will receive a pro-rata refund for any unused subscription period

By subscribing, you authorize us to charge your payment method for recurring fees until you cancel.

7. User Content and Data Ownership

Your Content: You retain ownership of content you submit, including:

• Player profile information and photos
• Team and league information
• Posts and communications
• Game statistics you input

License Grant: By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content for the purpose of operating and improving our Service.

Statistics and Performance Data: Game statistics entered by league officials become part of the historical record. While you may control visibility through privacy settings, statistics may remain part of league records.

Content Responsibility: You are solely responsible for content you submit and must ensure it does not violate any third-party rights or applicable laws.

8. Acceptable Use Policy

You agree to use our Service responsibly and in compliance with all applicable laws. You will:

• Treat other users with respect and sportsmanship
• Provide accurate information about players, teams, and games
• Respect other users' privacy settings and preferences
• Use the Service for its intended basketball management purposes
• Comply with all applicable rules, regulations, and guidelines

9. Prohibited Activities

You may NOT:

• Use the Service for any illegal purpose or in violation of any laws
• Impersonate any person or entity, or falsely claim affiliation
• Submit false, misleading, or fraudulent information
• Harass, bully, or intimidate other users
• Post content that is defamatory, obscene, or offensive
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Use automated systems or bots to access the Service
• Scrape, harvest, or collect user data without permission
• Reverse engineer or attempt to extract source code
• Create fake player profiles or statistics
• Manipulate game results or standings
• Use the Service for commercial purposes without authorization
• Circumvent any security measures or access controls

10. Intellectual Property

The Service, including its design, features, content, and technology, is owned by 2XP Pte. Ltd. and protected by intellectual property laws.

• Our trademarks, logos, and branding may not be used without permission
• You receive a limited, non-exclusive, non-transferable license to use the Service for personal or internal business purposes
• You may not copy, modify, distribute, or create derivative works of our Service

11. Third-Party Services and Links

Our Service integrates with third-party services including:

• Stripe for payment processing
• Social media platforms (Instagram, Twitter/X)
• Authentication providers

Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party services or content.

12. Consumer Rights (Singapore)

If you are a consumer in Singapore, you have rights under the Consumer Protection (Fair Trading) Act 2003 (CPFTA) and other applicable laws:

Fair Trading Commitment

We are committed to fair dealing and will not engage in unfair practices as defined under the CPFTA. We will:

• Provide accurate information about our services and pricing
• Not make false or misleading claims about our Service
• Honour advertised prices and promotions
• Handle complaints fairly and in good faith

Your Consumer Rights

• You have the right to receive services that conform to the description provided
• You have the right to request remedies if services do not conform to what was agreed
• Nothing in these Terms excludes or limits your statutory rights as a consumer under Singapore law

Dispute Resolution

If you have a complaint, please contact us first at hello@hoopershub.sg. If we cannot resolve your complaint, you may seek assistance from:

• Consumers Association of Singapore (CASE)
• Small Claims Tribunal (for claims up to S$20,000)
• Competition and Consumer Commission of Singapore (CCCS)

13. Disclaimers

Subject to your statutory rights under Singapore law (including the CPFTA and Unfair Contract Terms Act), the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy of user-submitted statistics or data
• Warranties regarding third-party services or content

We do not guarantee the accuracy of user-submitted content, including player statistics, game results, or profile information.

Important: Nothing in these Terms excludes or limits our liability for fraud, death or personal injury caused by our negligence, or any other liability that cannot be excluded under Singapore law.

14. Limitation of Liability

Subject to Section 13 above and to the maximum extent permitted by the Unfair Contract Terms Act and other applicable Singapore laws:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amounts paid by you to us in the twelve (12) months preceding the claim
• We are not liable for actions of other users, including any harm arising from interactions or content
• We are not responsible for physical injuries during basketball activities organized through the Service

Note: The above limitations do not apply to any liability that cannot be excluded or limited under Singapore law, including liability for fraud or fraudulent misrepresentation.

15. Indemnification

You agree to indemnify, defend, and hold harmless 2XP Pte. Ltd. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you submit to the Service

16. Termination

We may suspend or terminate your account and access to the Service:

• For any violation of these Terms
• For any reason at our sole discretion with reasonable notice
• Immediately if required by law or to protect the Service or other users

Upon termination:

• Your right to access the Service immediately ceases
• You remain liable for any outstanding obligations
• Provisions that by their nature should survive will continue (including intellectual property, disclaimers, and liability limitations)

You may terminate your account at any time through account settings or by contacting us.

17. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be:

• First attempted to be resolved through good-faith negotiation
• If unresolved, submitted to mediation in Singapore
• If still unresolved, submitted to the exclusive jurisdiction of the courts of Singapore

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, including but not limited to:

• Electronic Transactions Act 2010
• Personal Data Protection Act 2012
• Consumer Protection (Fair Trading) Act 2003
• Unfair Contract Terms Act

You agree to the exclusive jurisdiction of the courts of Singapore for any disputes arising from these Terms.

19. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last Updated" date
• Sending you an email notification for significant changes
• Displaying an in-app notification when you next access the Service

Continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree with the changes, you should stop using the Service.

20. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and 2XP Pte. Ltd. regarding your use of the Service and supersede any prior agreements.
